Company formation

The establishment of a business entity – whether a private limited company (Kft.), a limited partnership (Bt.), a private company limited by shares (Zrt.) or a general partnership (Kkt.) – requires countersignature by an attorney. Our office undertakes the preparation of all documents necessary for the formation, the handling of the proceedings before the Court of Registration and the representation of the client.

We also offer the option of simplified, paperless company formation: the articles of association can also be signed electronically through the e-file (e-akta) system, which significantly shortens the administrative time.

Amendment of the articles of association

Changes occurring during the life of the company – capital increase, change of members, change of registered seat, extension of the scope of activities – all require an amendment of the articles of association and notification to the Court of Registration. Our office prepares all the necessary documents and conducts the proceedings to the end.

Liquidation and voluntary winding-up

If the company no longer wishes to continue its activities, voluntary winding-up (végelszámolás) proceedings must be conducted. If the company becomes insolvent, liquidation proceedings may take place. In both proceedings, experienced legal assistance is indispensable for coordinating the interests of creditors, the tax authority and other parties concerned.
